Terms and Conditions

For Website Development, Application, Digital Content, Intellectual Property, and Marketing Collateral

1. Introduction
These Terms and Conditions govern the creation, use, and maintenance of websites, applications, digital content, intellectual property, and marketing collateral provided by Project Launch 101. By engaging our services, you agree to comply with these terms.

2. Payment Terms
2.1 Pricing
All prices for our services will be quoted in writing and are subject to approval by both parties. Prices are subject to change based on project scope, complexity, and additional requirements.
2.2 Payment Schedule
Payment terms will be outlined in the project agreement. Typically, a deposit of 50% is due upon contract signing, with the remaining balance due upon project completion. Late payments may incur additional fees.
2.3 Refunds
Refunds will be considered on a case-by-case basis. If a project is canceled by the client after work has commenced, the deposit is non-refundable.

3. Intellectual Property
3.1 Ownership
All intellectual property created during the project will be owned by the client upon full payment. Until full payment is received, the company retains ownership of all materials.
3.2 Usage Rights
The client is granted non-exclusive, perpetual rights to use the created intellectual property for their intended purpose. The company reserves the right to showcase the work in portfolios and promotional materials.

4. Confidentiality
Both parties agree to maintain the confidentiality of all proprietary information disclosed during the project. This includes, but is not limited to, business strategies, technological processes, and financial data.

5. Dispute Resolution
5.1 Mediation and Arbitration
In the event of a dispute, both parties agree to attempt mediation before pursuing legal action. If mediation fails, disputes will be resolved through binding arbitration in accordance with the rules of the American Arbitration Association.
5.2 Governing Law
These terms and conditions are governed by the laws of the state in which the company is headquartered. Any legal action must be filed in the appropriate jurisdiction within that state.

6. Project Scope and Changes
6.1 Scope Definition
The project scope will be clearly defined in the project agreement. Any changes to the scope must be agreed upon in writing by both parties.
6.2 Additional Charges
Changes to the project scope may result in additional charges. The company will provide a revised quote for any changes, and work will not commence until the revised quote is approved by the client.

7. Delivery and Acceptance
7.1 Delivery Timeline
The project timeline will be outlined in the project agreement. The company will make every effort to meet the agreed-upon deadlines.
7.2 Acceptance Criteria
The client will have a specified period to review and accept the completed work. Any issues or revisions must be communicated within this period. Failure to provide feedback within the timeframe will be deemed acceptance of the work.

8. Termination
8.1 Termination by Client
The client may terminate the project at any time by providing written notice. The client will be responsible for payment for all work completed up to the termination date.
8.2 Termination by Company
The company reserves the right to terminate the project if the client fails to comply with these terms and conditions. The company will provide written notice and will be entitled to payment for all work completed up to the termination date.

9. Liability and Warranty
9.1 Limitation of Liability
The company’s liability for any claims arising out of this agreement will be limited to the amount paid by the client for the services. The company will not be liable for any indirect, incidental, or consequential damages.
9.2 Warranty
The company warrants that the services provided will meet the specifications outlined in the project agreement. Any defects or issues will be addressed promptly and corrected at no additional cost to the client.

10. Marketing and Promotion
The company reserves the right to use the client’s project in promotional materials, case studies, and portfolios. The client agrees to provide a testimonial or review upon successful project completion.

11. Miscellaneous
11.1 Entire Agreement
These terms and conditions, along with the project agreement, constitute the entire agreement between the parties. Any changes or modifications must be made in writing and signed by both parties.
11.2 Severability
If any provision of these terms and conditions is found to be invalid or unenforceable, the remaining provisions will remain in full force and effect.
11.3 Waiver
Failure by either party to enforce any provision of these terms and conditions will not be deemed a waiver of future enforcement of that or any other provision.
11.4 Notices
All notices required or permitted under this agreement will be in writing and delivered to the addresses specified in the project agreement.
